1. Company Information


This website is operated by HCSH Strategic Consulting LLC, a Texas limited liability company (“Company,” “we,” or “us”). All services are provided by the Company, not by any individual in a personal capacity.

2. Acceptance of Terms

By accessing this website or engaging the Company for services, you agree to these Terms & Conditions. If you enter into a separate written agreement (including a Professional Services Agreement or Statement of Work), that agreement will control in the event of any conflict.

3. Nature of Services

The Company provides consulting, advisory, strategic, speaking, media, and related professional services.

All services:

  • Are advisory in nature

  • Are based on professional judgment and experience

  • Do not guarantee outcomes of any kind

You acknowledge that:

  • You are solely responsible for decisions, actions, and results

  • You are responsible for evaluating and implementing any recommendations.

4. Engagement Structure

Formal services are governed by:

  • A Professional Services Agreement, and

  • One or more Statements of Work (SOWs)

Each SOW defines:

  • Scope

  • Deliverables

  • Fees

  • Timeline

No services are obligated until agreed in writing.

5. Intellectual Property

5.1 Company Ownership

All Company intellectual property, including:

  • Frameworks

  • Methodologies

  • Systems

  • Templates

  • Know-how

(collectively, “Background IP”) remains the exclusive property of the Company.

5.2 Client Rights

Clients receive a limited, non-exclusive license to use deliverables for internal purposes only unless otherwise agreed in writing.

5.3 No Transfer of Methods

Nothing transfers ownership of:

  • Consulting approaches

  • Analytical models

  • Strategic frameworks

Even if reflected in deliverables.

6. Personal Brand and Identity Rights

All rights to the name, likeness, voice, reputation, and personal brand of Carina M. Woodruff remain her exclusive personal property.

The Company may use such identity only for:

  • Marketing

  • Service delivery

No ownership of personal identity is transferred to the Company or any client.

7. Confidentiality

Both parties agree to:

  • Protect non-public information

  • Use such information only for intended purposes

Confidential information excludes:

  • Public information

  • Information required by law to be disclosed

8. Fees and Payments

  • Fees are defined in written agreements or SOWs

  • Payment is typically due within 10 days of invoice

  • Services may be suspended for non-payment

Clients are responsible for:

  • Agreed fees

  • Approved expenses

9. Independent Contractor Relationship

The Company operates strictly as an independent contractor.

Nothing in these Terms creates:

  • Partnership

  • Joint venture

  • Agency

  • Fiduciary relationship

10. Limitation of Liability

To the fullest extent permitted by law:

  • The Company is not liable for indirect, incidental, or consequential damages

  • Total liability is capped at fees paid for the applicable services

No guarantees are made regarding:

  • Business outcomes

  • Financial results

  • Strategic success

11. Indemnification

You agree to indemnify and hold harmless:

  • The Company

  • Its Member

  • Its Managers

From any claims arising from:

  • Your use of services

  • Your implementation of advice

12. No Personal Liability

All services are provided through the Company.

  • The Member (Carina M. Woodruff) and Managers are not personally liable

  • Any claims must be made solely against Company assets

13. Third-Party Use Prohibited

You may not:

  • Share deliverables externally

  • Resell or commercialize Company materials

  • Represent Company work as your own

Without written permission.

14. Force Majeure

The Company is not responsible for delays or failure to perform due to events beyond reasonable control, including:

  • Illness

  • Travel disruption

  • Natural disasters

  • Government actions

15. Governing Law and Venue

These Terms are governed by the laws of the State of Texas.

All disputes must be resolved in: Dallas County, Texas

Jury trial rights are waived.

16. Modifications

The Company may update these Terms at any time.

Continued use of the website or services constitutes acceptance of updated Terms.

17. Entire Agreement

These Terms, together with any executed:

  • Professional Services Agreement

  • Statement of Work

constitute the entire agreement.
